These Terms & Conditions (the “Terms“) form a legally binding agreement between Cyfirow (CYFIROW LLC) (“Cyfirow,” “we,” “us,” or “our“) and any person or entity (“you” or “User“) who accesses https://cyfirow.com (the “Website“) or uses our services (the “Services“). By accessing or using the Website or Services, you agree to be bound by these Terms and our Privacy Policy (and any other policies referenced here and available in the Website footer). If you do not agree, do not use the Website or Services.

Order/Agreement: any legally binding document (e.g., quote, invoice, SoW, MSA) executed or accepted by you and Cyfirow, which incorporates these Terms by reference.

We may update these Terms from time to time. The updated Terms will be posted on this page with a new Effective date. Your continued use of the Website or Services after changes become effective constitutes your acceptance. We may modify or discontinue the Website or any feature at any time, with or without notice.

4) Eligibility & business use

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Website or Services. If you use the Website or Services on behalf of a company or organization, you represent that you are authorized to bind that entity to these Terms.

  • Fees & taxes: you agree to pay all fees and applicable taxes as set out in the Order. Unless otherwise stated, fees are in U.S. dollars.

  • Payment processing: payments are handled by third‑party processors; we do not store full payment card numbers. You authorize us and our processors to charge the payment method you provide.

  • Late payments: overdue amounts may accrue interest at the lower of 1.5% per month or the maximum permitted by law. You are responsible for reasonable collection costs.

  • Refunds: any refunds are subject to our Returns & Refunds Policy (linked in the Website footer) or the specific Order/SOW. Unless stated otherwise, fees are non‑refundable once Services commence.

  • Changes: scope changes may require a change order and additional fees.

7) Acceptable use

You agree not to, and not to allow any third party to:

  • use the Website or Services for any unlawful, harmful, fraudulent, infringing, or abusive purpose;

Feedback. If you provide ideas, suggestions, or comments (“Feedback”), you grant Cyfirow a perpetual, irrevocable, worldwide, royalty‑free license to use and exploit the Feedback without restriction or compensation.

The Website may contain links to third‑party sites or integrate third‑party tools (e.g., analytics, advertising, payment processing). We are not responsible for third‑party content, policies, or practices. Your use of third‑party services is governed by their terms and policies.

TO THE EXTENT LIABILITY CANNOT BE EXCLUDED, CYFIROW’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE WEBSITE, OR THE SERVICES SHALL NOT EXCEED THE GREATER OF US $100 OR THE AMOUNT PAID BY YOU TO CYFIROW FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY. NOTHING IN THESE TERMS LIMITS LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR INJURY WHERE SUCH LIMITATION IS PROHIBITED BY LAW.

14) Indemnification

You agree to defend, indemnify, and hold harmless Cyfirow and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Website or Services; (b) your violation of these Terms; or (c) your violation of any third‑party rights.

15) Term; suspension; termination

These Terms remain in effect while you use the Website or Services. We may suspend or terminate access at any time if we believe you have violated these Terms or for any reason permitted by law. Upon termination, your right to use the Website and Services ceases immediately, but Sections that by their nature should survive (e.g., IP ownership, confidentiality, disclaimers, limitations of liability, indemnification, and governing law) shall survive.

16) Force majeure

We will not be liable for any delay or failure to perform due to events beyond our reasonable control, including acts of God, labor disputes, utility or telecommunications failures, cyberattacks, natural disasters, war, or government actions.

18) Governing law; venue

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict‑of‑laws rules. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Sheridan County, Wyoming to resolve any dispute arising out of or relating to these Terms or the Website/Services.

19) Notices; electronic communications

We may provide notices by posting to the Website or by email to the address you provide. By using the Website or Services, you consent to receive communications from us electronically.

20) Severability; waiver; entire agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right is not a waiver. These Terms, together with any Order and the policies referenced herein (e.g., Privacy Policy, Cookie Policy, Returns & Refunds Policy, DMCA Policy), constitute the entire agreement between you and Cyfirow regarding the Website and Services and supersede all prior understandings.
